Terms and Conditions

Staffordshire Marketing
Effective Date: January 2025

1. About These Terms

These terms and conditions ("Terms") govern the provision of digital marketing services by Louise Smith trading as Staffordshire Marketing ("we", "us", "our") to you ("you", "your", "the Client").

By engaging our services, you agree to be bound by these Terms and Conditions. Please read them carefully before proceeding.

2. Services

2.1 Service Provision

We provide digital marketing consultancy services including but not limited to:

  • Marketing strategy development and audits
  • Social media management and content creation
  • Search engine optimisation (SEO)
  • Email marketing campaigns
  • Website development and maintenance
  • Marketing training and consultancy

2.2 Service Specifications

Specific services, deliverables, timescales, and pricing shall be set out in:

  • Individual service descriptions on our website
  • Written quotations provided to you
  • Service agreements or project briefs
  • Email confirmations of booking

2.3 Service Standards

We will provide services with reasonable care and skill, by generally accepted industry standards and practices.

3. Booking and Acceptance

3.1 Quotations

All quotations are valid for 30 days unless otherwise stated. Quotations do not constitute a binding contract until accepted by both parties.

3.2 Acceptance

A contract is formed when:

  • You accept our written quotation in writing (including email)
  • You make payment for services
  • We commence work following your instruction
  • We send written confirmation of your booking

3.3 Capacity Limitations

We limit our client base to ensure quality service delivery. We reserve the right to decline new bookings when at capacity.

4. Pricing and Payment

4.1 Pricing

All prices are quoted in pounds sterling (£) and are exclusive of VAT unless otherwise stated. Current VAT will be added where applicable.

4.2 Payment Terms

  • One-off Services: Payment required in full before commencement of work
  • Monthly Services: Payment due monthly in advance
  • Project Work: 50% deposit required, balance due upon completion
  • Hourly Services: Payment due within 14 days of invoice

4.3 Late Payment

Late payment charges of 4% above the Bank of England base rate per annum may be applied to overdue amounts, together with reasonable debt recovery costs.

4.4 Price Changes

We reserve the right to increase prices for ongoing services with 30 days' written notice. You may terminate monthly services if you do not accept price increases.

5. Client Obligations

5.1 Information and Access

You agree to provide:

  • Accurate business information and brief details
  • Timely access to your social media accounts, websites, and relevant systems
  • Necessary approvals and feedback within agreed timescales
  • Marketing materials, brand guidelines, and content as required

5.2 Content Approval

For social media management and content creation services, you are responsible for:

  • Reviewing and approving content before publication (where applicable)
  • Ensuring all provided content is accurate and appropriate
  • Complying with platform terms of service

5.3 Account Access

For management services, you grant us the necessary access to your business accounts (including social media, website, and email platforms) and agree that we may act on your behalf within the scope of the agreed-upon services.

6. Intellectual Property

6.1 Your Content

You retain ownership of all content, images, and materials that you provide to us. You grant us a licence to use such materials to provide our services.

6.2 Our Work Product

We retain intellectual property rights in:

  • Marketing strategies and methodologies
  • Templates and frameworks developed by us
  • General knowledge and expertise

6.3 Deliverables

Upon full payment, you receive full rights to use deliverables explicitly created for your business, including custom content, strategies, and campaigns.

6.4 Third-Party Content

We may use stock images, templates, or third-party tools in our work. Licensing terms for such materials shall be communicated.

7. Confidentiality

7.1 Mutual Confidentiality

Both parties agree to maintain the confidentiality of all non-public information disclosed during our business relationship.

7.2 Business Information

We agree not to disclose your business strategies, customer lists, financial information, or other sensitive business data to third parties without your consent.

7.3 Testimonials and Case Studies

We may use your business name and general project details as testimonials or case studies unless you specifically request otherwise in writing.

8. Cancellation and Refunds

8.1 Cooling-Off Period

For consumers, you have 14 days from the Date of booking to cancel services that have not yet commenced.

8.2 Monthly Services

Monthly services may be cancelled with 30 days' written notice. No refunds are provided for partial months.

8.3 Project Cancellation

Project work may be cancelled at any time. Charges apply for:

  • Work Completed to Date
  • Non-refundable third-party costs incurred
  • Reasonable cancellation costs

8.4 Our Right to Terminate

We may terminate services immediately if:

  • Payments are overdue beyond 30 days
  • You breach these terms materially
  • We are unable to access necessary accounts or information
  • Your business activities become illegal or unethical

9. Limitation of Liability

9.1 Service Results

Whilst we use our best endeavours to achieve agreed objectives, we cannot guarantee specific results from marketing activities, including but not limited to:

  • Website traffic increases
  • Social media engagement rates
  • Lead generation numbers
  • Sales conversions

9.2 Liability Cap

Our total liability for any claim shall not exceed the total amount paid by you for the specific service giving rise to the claim.

9.3 Excluded Losses

We shall not be liable for:

  • Lost profits, revenue, or business opportunities
  • Indirect or consequential losses
  • Loss of data not caused by our negligence
  • Third-party platform changes or outages

9.4 Platform Dependencies

We are not responsible for changes to third-party platforms (such as Facebook, Google, and Instagram) that may affect service delivery or results.

10. Data Protection

10.1 GDPR Compliance

We process personal data by UK data protection laws. See our Privacy Policy for complete details.

10.2 Data Processing

When managing your marketing accounts, we act as a data processor. You remain the data controller and are responsible for ensuring lawful processing of personal data.

11. Force Majeure

We shall not be liable for any failure to perform our obligations due to circumstances beyond our reasonable control, including but not limited to:

  • Natural disasters
  • Government actions or restrictions
  • Internet or telecommunications failures
  • Third-party platform outages

12. General Terms

12.1 Entire Agreement

These terms, together with our service descriptions and any written agreements, constitute the entire agreement between the parties.

12.2 Amendments

Changes to these terms must be agreed in writing. We reserve the right to update our terms for future bookings with reasonable notice.

12.3 Severability

If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

12.4 Assignment

You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations with reasonable notice.

12.5 Governing Law

These terms are governed by the laws of England. Any disputes shall be subject to the exclusive jurisdiction of the English courts.

12.6 Third-Party Rights

No person other than you and us shall have any rights under these terms.

13. Complaints and Disputes

13.1 Complaint Procedure

If you are dissatisfied with our services:

  1. Contact us immediately to discuss the issue
  2. We will investigate and respond within five working days
  3. We will work together to resolve the matter satisfactorily

13.2 Alternative Dispute Resolution

We are committed to resolving disputes in an amicable manner. If direct negotiation fails, we agree to consider mediation as an alternative before pursuing legal action.
